1. Acceptance of Terms
By accessing, downloading, installing, or using any ManyVector product, platform, API, documentation, or service (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. These Terms form a legally binding agreement between you and ManyVector Inc. ("ManyVector," "we," "us," or "our").
If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity. If you do not have such authority, or if you do not agree with these Terms in their entirety, you may not use the Service.
Your use of the Service constitutes your ongoing acceptance of these Terms as they may be updated from time to time. We encourage you to review these Terms periodically.
2. Description of Service
ManyVector provides a vector database and search platform built on object storage, enabling organizations to store, index, and query dense vector embeddings alongside full-text and metadata. The Service includes vector search, full-text search, hybrid search, namespace management, and associated APIs, SDKs, documentation, and support resources.
The Service is offered in two primary deployment models:
Cloud (Managed): ManyVector provides the query layer as a managed service. Your vector data is stored in your own object storage bucket (S3, GCS, R2, etc.) and is never held by ManyVector. Data processing is governed by these Terms and any applicable Data Processing Agreement (DPA).
Self-Hosted: You deploy the ManyVector query layer within your own infrastructure. Your use of the self-hosted software is governed by the applicable license agreement. ManyVector does not have access to your infrastructure or data in a self-hosted deployment.
Features, modules, and service levels may vary by deployment model and subscription tier. ManyVector reserves the right to add, modify, suspend, or discontinue any feature with reasonable prior notice, except where required changes must be made immediately for security or legal reasons.
3. License Grant
Self-Hosted License. Subject to your compliance with these Terms and the applicable license agreement, ManyVector grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the ManyVector software solely for your internal business purposes and solely in accordance with the documentation and the scope of your license tier. You may not distribute, resell, sublicense, or make the software available as a service to third parties without prior written authorization from ManyVector.
SaaS Subscription. Subject to timely payment of applicable subscription fees and your compliance with these Terms, ManyVector grants you a limited, non-exclusive, non-transferable right to access and use the managed Service during your active subscription period, solely for your internal business operations. This right terminates automatically upon expiration or termination of your subscription.
Open-Source Components. Certain components of the ManyVector platform are made available under open-source licenses (such as MIT or Apache 2.0). Your use of those components is governed by their respective open-source license terms, which take precedence over these Terms with respect to those specific components.
4. Permitted and Prohibited Uses
You may use the Service for lawful business purposes consistent with these Terms, including building internal AI-powered applications, managing and routing LLM traffic, monitoring and auditing AI usage within your organization, and enforcing AI governance policies.
You agree that you will not use the Service to:
(a) Illegal Activity. Violate any applicable local, state, national, or international law, regulation, or treaty, including export control laws.
(b) Reverse Engineering. Decompile, disassemble, reverse engineer, or attempt to derive the source code of any proprietary components of the Service, except to the extent expressly permitted by applicable law or an open-source license that applies to the relevant component.
(c) Unauthorized Resale. Resell, sublicense, or provide the managed Service to third parties as a service offering without prior written authorization from ManyVector.
(d) Model Training. Use data, prompts, completions, or outputs processed through the Service to train, fine-tune, or develop AI or machine learning models that compete with ManyVector or its products without prior written consent.
(e) Intellectual Property Infringement. Upload, transmit, or route content that infringes the intellectual property rights, privacy rights, or other proprietary rights of any third party.
(f) Automated Abuse. Conduct denial-of-service (DoS) or distributed denial-of-service (DDoS) attacks, automated scraping outside of documented API use, or any other activity that unreasonably burdens ManyVector infrastructure or third-party provider infrastructure.
(g) Security Circumvention. Attempt to probe, scan, penetration-test, or breach any security controls of the Service, or attempt to gain unauthorized access to other customers' data or accounts.
5. Account Registration
To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. Providing false or misleading information is a material breach of these Terms.
You are solely responsible for maintaining the confidentiality of your account credentials, including passwords and API keys. You are responsible for all activity that occurs under your account, whether or not you authorized it.
You must notify us immediately at hello@manyvector.com if you become aware of or suspect any unauthorized access to or use of your account. ManyVector will not be liable for any loss or damage arising from your failure to comply with these obligations.
We reserve the right to disable or terminate any account that we reasonably believe has been compromised, is being used in violation of these Terms, or poses a risk to the security or integrity of the Service or other users.
6. AI Provider Terms
ManyVector acts as a gateway that routes your AI requests to third-party large language model providers such as OpenAI, Anthropic, Google, Cohere, and others (each, an "AI Provider"). ManyVector is not a party to, and does not modify or expand, the terms between you and any AI Provider.
You are solely responsible for ensuring that your use of the Service, including the content of prompts and the nature of requests you route through ManyVector, complies with the terms of service, acceptable use policies, and any applicable guidelines of each AI Provider whose services you access.
ManyVector is not liable for any suspension, termination, or enforcement action taken by an AI Provider against your account as a result of your use of that provider's services through ManyVector.
7. Data and Privacy
Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.
You retain full ownership of all data, content, prompts, configurations, and outputs that you process through or store in the Service ("Customer Data"). ManyVector acquires no ownership rights in Customer Data. ManyVector processes Customer Data solely as directed by you and only to the extent necessary to provide, maintain, and improve the Service.
ManyVector does not use Customer Data, including your AI prompts, completions, or model outputs, to train AI models or for any purpose other than operating and improving the Service.
For customers subject to data protection regulations such as the GDPR or CCPA, ManyVector is available to enter into a Data Processing Agreement (DPA) or Business Associate Agreement (BAA) on request. Contact us at hello@manyvector.com to request these agreements.
8. Customer Responsibilities
You are responsible for your use of the Service and for ensuring that your use complies with all applicable laws and regulations in your jurisdiction, including data protection laws, sector-specific regulations (such as HIPAA, FINRA, or SOC 2 requirements applicable to your industry), and export control laws.
You are responsible for the conduct of all users who access the Service through your account, including employees, contractors, and any authorized third parties. You agree to ensure that all such users are aware of and comply with these Terms.
You are responsible for the security of your API keys, credentials, and access tokens. You should rotate keys regularly and revoke any credentials that you believe may be compromised. ManyVector is not liable for unauthorized use of your credentials.
You are responsible for evaluating the outputs of AI models and ensuring that your use of those outputs complies with applicable laws, professional regulations, and ethical standards. AI-generated content may contain errors, biases, or inaccuracies, and you should not rely on such outputs for high-stakes decisions without appropriate human review.
9. Intellectual Property
ManyVector IP. ManyVector and its licensors own all right, title, and interest in and to the Service, including all software, source code, algorithms, user interfaces, designs, trademarks, and documentation. Nothing in these Terms transfers any ownership of ManyVector IP to you. The limited license grants in Section 3 are the entirety of the rights granted to you.
Customer IP. You own all right, title, and interest in and to your Customer Data, including your configurations, prompt templates, policies, and any outputs generated from your inputs. You grant ManyVector a limited, non-exclusive license to process Customer Data solely to the extent necessary to provide the Service.
Feedback. If you provide ManyVector with suggestions, ideas, or feedback about the Service ("Feedback"), you grant ManyVector an irrevocable, perpetual, royalty-free license to use and incorporate that Feedback into the Service without obligation to you.
10. Payment Terms
This section applies to customers on paid SaaS subscription plans. Self-hosted license fees are governed by your separate license agreement or order form.
Fees. Subscription fees are set out in your order form, subscription page, or applicable pricing schedule. All fees are exclusive of taxes. You are responsible for all applicable taxes, duties, and levies. ManyVector does not mark up AI Provider API costs — you pay providers directly using your own API keys.
Renewal. Subscriptions automatically renew at the end of each billing period (monthly or annual, as selected) at the then-current pricing unless you cancel before the renewal date. We will provide advance notice of any price changes prior to renewal.
Cancellation. You may cancel your subscription at any time through your account settings or by contacting hello@manyvector.com. Cancellation takes effect at the end of the current billing period. You will retain access to the Service through the end of the period for which you have paid.
No Refunds for Partial Periods. Fees paid are non-refundable except as expressly required by applicable law or as specifically agreed in writing. We do not issue prorated refunds for unused portions of a billing period, including upon cancellation or termination for cause.
Late Payments. Past-due balances may result in suspension of your access to the Service after reasonable notice. We reserve the right to charge interest on overdue amounts at the lesser of 1.5% per month or the maximum rate permitted by law.
11. Warranties and Disclaimers
ManyVector represents that it has the right to enter into these Terms and to provide the Service as described herein.
EXCEPT AS EXPRESSLY SET FORTH ABOVE, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MANYVECTOR EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
MANYVECTOR DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; OR (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.
You acknowledge that AI-generated outputs may contain errors, inaccuracies, or content that is inappropriate for certain uses. ManyVector makes no representation regarding the accuracy, fitness, or suitability of AI model outputs for any particular purpose.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MANYVECTOR, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF MANYVECTOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
MANYVECTOR'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL OR EQUITABLE THEORY, SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO MANYVECTOR IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you in full. In such jurisdictions, ManyVector's liability is limited to the greatest extent permitted by law.
13. Indemnification
You agree to defend, indemnify, and hold harmless ManyVector, its affiliates, directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:
(a) your use of or access to the Service in a manner that violates these Terms or applicable law; (b) Customer Data that infringes, misappropriates, or violates any third-party intellectual property, privacy, or other rights; (c) your violation of any AI Provider's terms of service; (d) claims by your users or customers arising from your use of the Service; or (e) your negligence or willful misconduct.
ManyVector will promptly notify you of any such claim and will provide reasonable cooperation in the defense of that claim at your expense. ManyVector reserves the right, at its own cost, to assume exclusive defense and control of any matter otherwise subject to indemnification by you.
14. Term and Termination
Term. These Terms commence on the date you first access or use the Service and continue until terminated by either party in accordance with this section.
Termination by You. You may terminate these Terms at any time by canceling your account and ceasing use of the Service. For paid subscriptions, termination takes effect at the end of the current billing period.
Termination by ManyVector. ManyVector may terminate or suspend your access to the Service immediately, with or without notice, if: (a) you materially breach these Terms and fail to cure the breach within 30 days of written notice (or immediately if the breach is not curable); (b) you become insolvent or file for bankruptcy; or (c) ManyVector discontinues the Service with 60 days' prior notice.
Effect of Termination. Upon termination, your right to access and use the Service ceases immediately (or at the end of the paid period, as applicable). For SaaS customers, ManyVector will make your Customer Data available for export for 30 days following termination, after which we may delete your data in accordance with our data retention practices.
Survival. Sections 9 (Intellectual Property), 11 (Warranties and Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 15 (Governing Law), and any other provisions that by their nature should survive termination, will survive the termination or expiration of these Terms.
15. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to them or the Service shall be governed by and construed in accordance with applicable law, without regard to conflict-of-law principles that would require the application of the laws of another jurisdiction.
Before initiating any formal proceeding, the parties agree to attempt to resolve disputes informally by contacting hello@manyvector.com and engaging in good-faith negotiation for at least 30 days.
Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction where necessary to prevent irreparable harm, including to protect intellectual property rights or confidential information.
16. Changes to These Terms
ManyVector may update these Terms from time to time to reflect changes in the Service, applicable law, or our business practices. When we make material changes, we will provide notice by: (a) posting a notice on our website; (b) updating the "Last updated" date at the top of this page; and/or (c) sending an email to the address associated with your account for significant changes.
Changes will take effect no sooner than 14 days after notice is provided, except for changes required to comply with applicable law, which may take effect immediately.
Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Service before the effective date of the changes.
17. General Provisions
Entire Agreement. These Terms, together with the Privacy Policy and any applicable order forms or supplemental agreements (such as a DPA or enterprise license agreement), constitute the entire agreement between you and ManyVector regarding the Service and supersede all prior and contemporaneous agreements, representations, and understandings.
Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
Waiver. ManyVector's failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms or any of your rights hereunder without ManyVector's prior written consent. ManyVector may freely assign these Terms, including in connection with a merger, acquisition, or sale of all or substantially all of its assets.
Force Majeure. Neither party shall be liable for delays or failures in performance resulting from causes outside its reasonable control, including acts of God, natural disasters, war, terrorism, riots, government actions, or internet outages.
